The Club shall be called “The Classic Car Club of Ceylon”.

05 elected Members
d) Definition of Classic Vehicles
A Classic Vehicle would be defined as any vehicle, which had been manufactured over 25 years, prior to the date of the last AGM held on 22nd June 1993 or bearing original registration from CE 0001 to EN 9999 or where the date of manufacture is established to fall within the period 06.03.1940 and 01.12.1956. Every such vehicle to conform in general to manufacturer’s original specification and factory recommended modification or internationally acknowledged modification the validity of which could where necessary be determined by a panel of not less than three adjudicators appointed by the committee.

| 3. The Objectives of the Club |
a) To assist in the preservation and restoration of Classic Vehicles.
b) To organize and promote motor sports meets, both for cars and motorcycles either on it's own, or in collaboration with other motor sports clubs.
c) To pool technical knowledge and expertise to assist members in the repairs to their vehicles.
d) To compile a directory of Classic Vehicles in Sri Lanka.
e) To assist members in obtaining spares locally or from abroad.
f) To obtain special concessions from the Commissioner of Motor Traffic, Insurance Corporation and Spare Parts Dealers.
g) To affiliate with Classic Car Clubs of other countries.
h) To maintain a reference library.
i) To campaign against the export of vehicles, in assembled or dismantled form as stipulated in section 3 a).
j) To assist enthusiasts to import Classic Vehicles.

| 4. Membership |
I) The number of members of the Club shall be unlimited.
II) Membership will be restricted to the following categories:-
a) Ordinary Members
b) Life Members
c) Honorary Life Members
d) Non Resident Members
e) Associate Members
f) Associate Life Members
g) Junior Members
4. ii) a) Ordinary Member
Membership is open to either sex owning a Classic Vehicle registered in the applicants name with the Commissioner of Motor Traffic. The entrance fees shall be Rs. 200/- and the annual subscription shall be Rs. 300/-.
4. ii) b) Life Member
Life Members shall be elected only from amongst those who have been Ordinary Members for at least three years. They shall make one payment of Rs. 1,000/- with the entrance fee of Rs. 200/- and will not be liable to further subscriptions.
4. ii) c) Honorary Life Member
Honorary Life Membership may be conferred on any such persons for their meritorious service to the Club. Membership in this category would be limited to a maximum of five at any given time. Election of such members is at the discretion of the Executive Committee. They shall have the right to vote and hold Office. They are not liable to pay subscription.
4. ii) d) Non-Resident Membership
Non Resident Members are Members residing outside Sri Lanka. They shall be elected in accordance with clause 4. a) The entrance fee shall be Rs. 200/- and the annual subscription shall be Rs. 500/-.
4. ii) e) Associate Member
Membership is open to either sex not owning a Classic Vehicles, but should be proposed and seconded by two members of the Club who are not in arrears of subscriptions. They shall not have the right to vote and hold office. The entrance fees shall be Rs.200/- and the annual subscription shall be Rs.200/=.
4. ii) f) Associate Life Member
If an Ordinary Member or Life Member disposes of his/her vehicle during the period of membership, he/she ceases to be an Ordinary Member or a Life Member, but could continue to be an Associate Member or Associate Life Member. He/she would however be eligible for Ordinary Membership or Life Membership on the re-acquisition of a Classic Vehicle.
4. ii) g) Junior Member
Is open to either sex not necessarily owing Classic Vehicles, under the age of 18. They should be proposed and seconded by two members of the Club, who are not in arrears of subscriptions. They shall not have the right to vote and hold office. There will be no levy of membership fees.
4. iii) No person other than for Honorary Membership shall be admitted as a member of the Club unless:
a) He/she has completed the specified membership application form obtainable for the Honorary Secretary, who shall table all such applications at the next meeting of the Executive Committee.
b) His or her application for membership is first approved by the entire Executive Committee voting through secret ballot and will be rejected if there are two or more opposing votes.
c) He/she shall have paid such entrance fee (if any) and first subscription as may be payable.
4. iv) The rights and privileges of membership shall be personal to the member and shall not be transferable.
4. v) Every member shall be bound to further to the best of his/her ability the objects and interests of the Club, and a member shall be bound to make good the Club any loss or damage which the Club may sustain through any misrepresentation on his/her part.
4. vi) Every member shall from time to time notify the Hony. Secretary an address to be registered as his/hers place of residence. Any member failing to inform the Hony. Secretary of change of address shall not be entitled to receive notice of any meeting or proceedings shall be invalidated by reason of his not having received such notice as aforesaid.
4. vii) A register containing an up to date list of members shall be maintained by the Hony. Secretary and shall be available for inspection by any member. The register will contain a list of founder members shown separately.
4. viii) Any member leaving the country should inform the Executive Committee, if they wish to have any correspondence mailed to them and any mailing cost, would have to be borne by the member.

| 5. Membership Subscriptions |
a) Every member other than Honorary Members shall pay to the Club a subscription in terms of the category of membership to which he/she belongs. Subscriptions shall be paid for the year in advance.
b) The annual subscription payable for different categories or members shall be determined from time to time by the Executive Committee of the Club.
c) Any members of the Club having ceased to be a member of the Club being desirous of re-election shall repay the entrance fee and arrears of subscriptions as the Executive Committee may decide.

| 6. Arrears of Subscriptions and Penalty. |
Also subscriptions due on the first day of the financial year of the Club which shall be the first day of January each year. Any Member who has not paid his subscription for the year after the first day of the financial year shall be deemed to be in arrears and shall be issued a notice by the Hony. Secretary. Any member who is in arrears of subscriptions shall not be entitled to attend or take part in any meeting of the Club or to exercise any of the rights or privileges of membership including the right to vote until he has paid his subscriptions in full.

| 8. Meetings |
a) Annual General Meeting: will be held before the 31st March of each year but if due to unavoidable circumstances the meeting cannot be held, it must be authorised by the Committee and in any case should be held not later than 31st June of each year. Date and time to be fixed by the Executive Committee. Notice of the A.G.M. should be circulated to the members 21 days before the date of the annual general meeting. The quorum should be 20 all of whom are not in arrears of subscriptions.
b) Resolutions: Any resolution in writing to be proposed at the Annual General
Meeting by a member, should be seconded and handed over to the Hon.
Secretary with 14 days clear notice of the Annual General Meeting.
c) Executive Committee Meetings: Shall be held at least once a month. 5 days
clear notice will be given. The minutes of the last Meeting to be tabled or
circulated by the Secretary. If any Executive Committee Member absents
himself/herself from 3 consecutive meetings without prior notice, he/she shall
IPSO FACTO cease to be a member of the executive Committee. The quorum
shall be nine.
d) Special General Meeting: Shall be summoned by the President or by the
Executive Committee on a written request signed by at least 15 Ordinary
Members. The notice relating to such meetings shall state the objective for
which the meeting is to be summoned, should be circulated to the membership
not less than 21 days ahead of such meeting. The quorum shall be twenty, all of
whom should not be in arrears of subscriptions.

| 9. Duties of office Bearers. |
a) President
Shall take the Chair at all meetings of the Club and shall have a casting vote in addition to his/her own vote in the event of an equally of votes.
b) Vice President
Shall act for the President in his/her absence.
c) Hony. Treasurer
i) Shall pay all monies received by the Club from any source whatsoever without any deductions for any purpose whatsoever to the credit of an account opened in the name of the Club at such Bank and in such manner as the Executive Committee may direct and further shall keep such accounts and pay such debts of the Club as the Executive Committee shall direct and shall when required to do so, render to the Executive Committee or a general meeting, details of monies received and expended by him/her.
ii) Shall table at every meeting of the Executive Committee a financial statement summarising income and expenditure, bank balances, creditors, debtors.
iii) Shall be responsible for having the accounts of the Club audited and shall table such audited accounts before the Executive Committee within one month of the close of the Financial Year.
iv) Shall maintain subscription records and table an up to date list of paid up members at the Annual General Meeting.
v) Shall within two weeks of receipt of any payment to him/her issue an official receipt.
d) Hony. Secretary
i) Shall keep and maintain a register of names and addresses of the members of the Club.
ii) Shall summon meetings as provided for in the constitution or as directed by the President.
iii) Shall attend all meetings, take minutes of proceedings, and shall maintain a minute book having a correct and true record of the proceedings of all such meetings.
iv) Shall circulate to each member a copy of the Annual Report of the Club, the Hony. Treasurer's Statement of Accounts and a record of attendance of Executive Members at its meeting, at least 07 days before the Annual General Meetings.
v) Shall convey in writing to each candidate his/her election to membership and present him with a copy of the Club's constitution.
vi) Shall carry out all other duties assigned to his/her office in this constitution.
e) Hony. Competitions Secretary
i) Shall organise and hold competitive events, rallies etc as and when decided by the Committee.
ii) Shall classify all cars owned by members and shall be responsible for maintaining an internationally accepted classification system.
iii) Shall co-ordinate with the Secretary on all events.
f) Hony. Social Secretary
i) Shall organise and hold social events for the members.
ii) Shall be responsible for all aspects of entertainment and fellowship at functions held by the Club.
iii) Shall co-ordinate with the Secretary on all events.
g) Hony. Editor
i) Shall prepare and distribute the Club news letter monthly among the
membership.
ii) Shall be overall in charge of the library and the archives of the Club.
h) Executive Committee
i) Shall consist of the office bearers of the Club (except the patron and the auditor) and nine other Committee Members, all of whom shall be elected at an Annual General Meeting of the club, and shall hold office until the next Annual General Meeting.
ii) No member shall be proposed as an office bearer unless such person is present at the meeting or his/her consent in writing is produced.
Powers and duties of the Executive Committee
1) They will have all powers to fill in any vacancies created in the Committee during the period between two Annual General Meetings. They should deal with any infringement of the constitution or rules of the Club and have the power to take disciplinary action.
They have the authority to summon a special general meeting and delegate powers to a sub-committee, to deal with any subject and to elect auxiliary secretaries.
2) They shall control the management of funds and the affairs of the Club.
3) They shall have powers to engage or dismiss any servants or employees of the Club or to suspend any office bearers if such action would help to achieve the objects of the Club.
4) They shall have the powers to acquire movable and immovable assets and do all such things as it may deem necessary for the promotions of the objects of the Club.
5) Shall determine the entrance fee and annual subscriptions payable by members.
6) They shall have the powers to amend the definition of a Classic Vehicle provided such amendment is approved by at least twelve of the fifteen members of the Executive Committee voting in favour at a Committee Meeting summoned by the Hony. Secretary as provided for in the constitution or as directed by the President.
7) The ruling of the Executive Committee on any matter is final, provided it abides by the constitution. In regard to any matter in the rules of the constitution, the Executive Committee shall have the power to take suitable action.
Retirement, vacation or cessation of Members of the Executive Committee
Any Member of the Executive Committee not attending three consecutive meetings shall unless he/she has sent an explanation to the satisfaction of the Executive Committee cease to be a Member of the Executive Committee.
Any member who has ceased to be a member of the club under section 7 of the constitution, shall also cease to be a member of the Executive Committee.
Filling of vacancies in the Executive Committee
Any vacancies created in the Executive Committee shall be filled by the Executive Committee from among the Members of the Club with their written consent.
i) The Auditor
A firm of recognised auditors shall be elected by the Executive Committee.

| 10. Bank Account |
The monies of the Club shall be kept in any recognised bank under the name "Classic Car Club Of Ceylon".
Administration of Bank Account
For the purpose of administration of bank account of the Club, cheques or other similar documents shall be signed by Hony. Treasurer or the Hony. Asst. Treasurer and any two of the following:-
President, Vice President, Secretary

| 11. Amendments to the Constitution. |
No existing clause of the constitution of the Club shall be amended, suspended or deleted nor shall any new clause be introduced, except after approval by a two third majority at a special or Annual General Meeting.

| 12. Quorum |
The quorum at a special or Annual General Meeting shall not be less than twenty. The quorum for the Executive Committee shall be nine.

| 13. Failure to obtain Quorum |
Should the attendance fall short of the required quorum, the meeting shall be adjourned for a later date. Should there be no quorum at such later meeting the meeting shall proceed as if there was such quorum.

| 15. Winding up of the Club |
The Club could be wound up only by a motion moved at a special general meeting with the written consent of three fourth majority of the total number of members entitled to vote. Such a motion will require a three fourth majority of those present for it's adoption. In the event of the Club being wound up, the finances of the Club shall be disposed of as decided on at such meeting.
